These Gen\u00ader\u00adal Terms and Con\u00addi\u00adtions for Pur\u00adchase (\u201cT+Cs\u201d) apply to offers, deliv\u00ader\u00adies and ser\u00advices as a frame\u00adwork agree\u00adment between FEW<\/span> Fahrzeugelek\u00adtrik Werk GmbH & Co. KG<\/span> (referred to in the fol\u00adlow\u00ading as \u201cFEW<\/span>\u201d) and its con\u00adtrac\u00adtu\u00adal part\u00adners (referred to in the fol\u00adlow\u00ading as \u201cSup\u00adpli\u00ader\u201d), even if they are not specif\u00adi\u00adcal\u00adly agreed to or referred to in indi\u00advid\u00adual cas\u00ades. Devi\u00adat\u00ading pur\u00adchase con\u00addi\u00adtions of the sup\u00adpli\u00ader will only apply as accept\u00aded if they have been con\u00adfirmed in writ\u00ading by FEW<\/span>. Accep\u00adtance of deliv\u00ader\u00adies and ser\u00advices with\u00adout reser\u00adva\u00adtion or pay\u00adment for them does not con\u00adsti\u00adtute agree\u00adment to the sup\u00adpli\u00ader\u2019s sales conditions.<\/p>\n (1) FEW<\/span> defines the above-list\u00aded con\u00adcepts for coop\u00ader\u00adat\u00ading with sup\u00adpli\u00aders as follows:<\/p>\n (2) The sup\u00adpli\u00ader must con\u00adsid\u00ader the infor\u00adma\u00adtion con\u00adtained in the frame\u00adwork agree\u00adments and the orders to be trade secrets, and must han\u00addle it con\u00adfi\u00adden\u00adtial\u00adly. Orders, deliv\u00adery sched\u00adules and changes or adden\u00addums to them must be made in writ\u00ading or must be com\u00admu\u00adni\u00adcat\u00aded by e\u2011mail or fax. This also applies to waiv\u00ader of the require\u00adment for com\u00admu\u00adni\u00adca\u00adtion in writ\u00ading. The sup\u00adpli\u00ader can like\u00adwise accept the order in writ\u00ading in the form of an order con\u00adfir\u00adma\u00adtion (with\u00adin a peri\u00adod of one week). Accep\u00adtance after this peri\u00adod is con\u00adsid\u00adered a new offer, which FEW<\/span> can accept with\u00adin an appro\u00adpri\u00adate peri\u00adod of time. Deliv\u00adery with\u00adout reser\u00adva\u00adtions after a suc\u00adcess\u00adful order is also con\u00adsid\u00adered accep\u00adtance of the order. This means that these con\u00adtrac\u00adtu\u00adal con\u00addi\u00adtions are agreed upon.<\/p>\n (3) In the event of exist\u00ading frame\u00adwork agree\u00adments with regard to spe\u00adcif\u00adic deliv\u00adery items, FEW<\/span> will waive an order con\u00adfir\u00adma\u00adtion when order\u00ading or request\u00ading these deliv\u00adery items. An order con\u00adfir\u00adma\u00adtion that devi\u00adates from the order will only become effec\u00adtive if it has also been con\u00adfirmed in writing.<\/p>\n (4) If an elec\u00adtron\u00adic data trans\u00admis\u00adsion is agreed upon with the sup\u00adpli\u00ader, then there is no need for a writ\u00adten con\u00adfir\u00adma\u00adtion of the order.<\/p>\n (5) In the event FEW<\/span> demands a change to the deliv\u00adery item, then the sup\u00adpli\u00ader is oblig\u00adat\u00aded to noti\u00adfy FEW<\/span> imme\u00addi\u00adate\u00adly with regard to any dead\u00adline or price effects of this change.<\/p>\n (6) FEW<\/span> has the right to can\u00adcel the con\u00adtract at any time by declar\u00ading this in writ\u00ading while pro\u00advid\u00ading the rea\u00adson for can\u00adcel\u00adla\u00adtion if FEW<\/span> can no longer use the ordered goods in its busi\u00adness due to con\u00addi\u00adtions that have arisen fol\u00adlow\u00ading sign\u00ading of the con\u00adtract, par\u00adtic\u00adu\u00adlar\u00adly if there are changed prod\u00aduct require\u00adments by FEW<\/span> cus\u00adtomers. In this case, the sup\u00adpli\u00ader can demand pay\u00adment for the par\u00adtial ser\u00advices it has ren\u00addered. Addi\u00adtion\u00adal claims, par\u00adtic\u00adu\u00adlar\u00adly any regard\u00ading lost prof\u00adits from the total order, can\u00adnot be made.<\/p>\n (1) The deliv\u00adery will be per\u00adformed \u2013 assum\u00ading noth\u00ading else has been agreed in writ\u00ading \u2013 DDP<\/span> (deliv\u00adered duty paid) to the loca\u00adtion indi\u00adcat\u00aded in the order (frame\u00adwork agree\u00adment). The respec\u00adtive des\u00adti\u00adna\u00adtion is also the place of ful\u00adfill\u00adment (oblig\u00ada\u00adtion to fulfill).<\/p>\n (2) The deliv\u00adery must be accom\u00adpa\u00adnied by a deliv\u00adery cer\u00adtifi\u00adcate that indi\u00adcates the date (pre\u00adpared and shipped), con\u00adtent of the deliv\u00adery (arti\u00adcle num\u00adber and quan\u00adti\u00adty) and the order iden\u00adti\u00adfi\u00adca\u00adtion num\u00adber. If the deliv\u00adery cer\u00adtifi\u00adcate is miss\u00ading or is incom\u00adplete, then FEW<\/span> is not respon\u00adsi\u00adble for any result\u00ading delays in pro\u00adcess\u00ading or payment.<\/p>\n (3) The sup\u00adpli\u00ader is not autho\u00adrized to pro\u00advide par\u00adtial deliv\u00ader\u00adies with\u00adout pri\u00ador express agree\u00adment of FEW<\/span> in writ\u00ading, by fax or by e\u2011mail.<\/p>\n (4) Agreed deliv\u00adery dead\u00adlines and deliv\u00adery dates are bind\u00ading. Ear\u00adly deliv\u00ader\u00adies are not per\u00admit\u00adted with\u00adout writ\u00adten con\u00adfir\u00adma\u00adtion by FEW<\/span>. If the deliv\u00adery is accept\u00aded ear\u00adly, then the pay\u00adment terms will begin from the deliv\u00adery date accord\u00ading to the order.<\/p>\n (5) The sup\u00adpli\u00ader is oblig\u00adat\u00aded to inform FEW<\/span> imme\u00addi\u00adate\u00adly if cir\u00adcum\u00adstances arise or become known which can cause the deliv\u00adery dead\u00adline agreed upon or the deliv\u00adery time agreed upon to not met.<\/p>\n (6) If a deliv\u00adery is delayed, then FEW<\/span> \u2013 along\u00adside addi\u00adtion\u00adal claims to replace\u00adment of the dam\u00adage cause by the delay in per\u00adfor\u00admance \u2013 is enti\u00adtled to demand a con\u00adtrac\u00adtu\u00adal penal\u00adty in the amount of 0.3% per busi\u00adness day, but in total a max\u00adi\u00admum of 5% of the val\u00adue of the order of the goods deliv\u00adered late.<\/p>\n (7) If a deliv\u00adery is faulty, then FEW<\/span> is enti\u00adtled to with\u00adhold pay\u00adment until the order is filled cor\u00adrect\u00adly and with\u00adout loss of cash dis\u00adcounts or rebates.<\/p>\n (8) Through accep\u00adtance of the late deliv\u00adery, FEW<\/span> does not for\u00adfeit the right to claims to con\u00adtrac\u00adtu\u00adal penal\u00adties or to any claims that could arise due to the late delivery.<\/p>\n (1) Due to the respon\u00adsi\u00adbil\u00adi\u00adty of the sup\u00adpli\u00ader for the pack\u00adag\u00ading, the sup\u00adpli\u00ader \u2013 inde\u00adpen\u00addent of the selec\u00adtion of the pack\u00adag\u00ading type \u2013 guar\u00adan\u00adtees the pro\u00adtec\u00adtion of the parts dur\u00ading deliv\u00adery in all cas\u00ades. An opti\u00admal pack\u00adag\u00ading type is manda\u00adto\u00adry in this process. The select\u00aded pack\u00adag\u00ading must meet the require\u00adments of the goods to be pack\u00adaged. It must be able to with\u00adstand the strains of the intend\u00aded mode of trans\u00adporta\u00adtion. This means that the trans\u00adport path (land, air or sea) and the means of trans\u00adport and cir\u00adcum\u00adstances which could pos\u00adsi\u00adbly have an effect, such as weath\u00ader influ\u00adences or han\u00addling dur\u00ading load\u00ading and unload\u00ading, must be tak\u00aden into account.<\/p>\n (2) The sup\u00adpli\u00ader must state the pack\u00adag\u00ading type and the pack\u00adag\u00ading units to FEW<\/span> in its offer.<\/p>\n (1) The price indi\u00adcat\u00aded in the order is bind\u00ading. All prices are to be under\u00adstood to be net prices; VAT<\/span> tax will be shown sep\u00ada\u00adrate\u00adly. As long as noth\u00ading else is agreed in indi\u00advid\u00adual cas\u00ades, the price includes deliv\u00adery and trans\u00adport, cus\u00adtoms fees, any applic\u00ada\u00adble tax\u00ades, costs and tar\u00adiffs, as well as packaging.<\/p>\n (2) The sup\u00adpli\u00ader must send an invoice to FEW<\/span> for each deliv\u00adery. It must indi\u00adcate the order num\u00adber, the arti\u00adcle num\u00adber, the deliv\u00adery quan\u00adti\u00adty, and the deliv\u00adery address, as well as the amount of VAT<\/span> tax and the VAT<\/span> ID<\/span> num\u00adber. It must be sent sep\u00ada\u00adrate\u00adly from the deliv\u00adery. The order num\u00adber, the arti\u00adcle num\u00adber, and the deliv\u00adery quan\u00adti\u00adty must be indi\u00adcat\u00aded in all addi\u00adtion\u00adal doc\u00adu\u00adments, such as order con\u00adfir\u00adma\u00adtions, deliv\u00adery papers and invoices.<\/p>\n (3) As long as not agreed oth\u00ader\u00adwise, pay\u00adment will be made with\u00adin 30 days fol\u00adlow\u00ading receipt of the invoice and acqui\u00adsi\u00adtion of the goods and all asso\u00adci\u00adat\u00aded doc\u00adu\u00adments with a deduc\u00adtion of a 3% cash dis\u00adcount or with\u00adin 60 cal\u00aden\u00addar days with\u00adout a cash discount.<\/p>\n (4) Invoic\u00ades are to be pre\u00adpared in euros or in US<\/span> dol\u00adlars; pay\u00adments will be made exclu\u00adsive\u00adly in euros or in US<\/span> dollars.<\/p>\n (1) The sup\u00adpli\u00ader is respon\u00adsi\u00adble for ensur\u00ading that the deliv\u00adery items are free of defects and meet the agreed spec\u00adi\u00adfi\u00adca\u00adtions. FEW<\/span> inspects the deliv\u00adered goods imme\u00addi\u00adate\u00adly based on the accom\u00adpa\u00adny\u00ading doc\u00adu\u00adments for iden\u00adti\u00adty and quan\u00adti\u00adty, as well as for any obvi\u00adous defects or trans\u00adport dam\u00adage. If there are defects in the deliv\u00adery or trans\u00adport dam\u00adage that is not obvi\u00adous, then they must be shown to the sup\u00adpli\u00ader as soon as they have been detect\u00aded accord\u00ading to the con\u00addi\u00adtions of nor\u00admal oper\u00ada\u00adtion with\u00adin a peri\u00adod of sev\u00aden work\u00ading days after detec\u00adtion. In this respect, the sup\u00adpli\u00ader for\u00adfeits the excep\u00adtion to delayed notice of defects as described in \u00a7 377 of the Ger\u00adman Com\u00admer\u00adcial Code.<\/p>\n (2) FEW<\/span> will estab\u00adlish a qual\u00adi\u00adty con\u00adtrol agree\u00adment with the sup\u00adpli\u00ader with the first order. It rep\u00adre\u00adsents an addi\u00adtion\u00adal basis for coop\u00ader\u00ada\u00adtion along\u00adside the Gen\u00ader\u00adal Terms and Con\u00addi\u00adtions of Purchase.<\/p>\n (3) FEW<\/span> has the right to select the man\u00adner of repair\u00ading the defect if there are inter\u00adrup\u00adtions in per\u00adfor\u00admance of ser\u00advice. The sup\u00adpli\u00ader must pro\u00advide improve\u00adments or replace\u00adment deliv\u00ader\u00adies free of charge, depend\u00ading on which option FEW<\/span> selects. If the sup\u00adpli\u00ader does not repair the dam\u00adage after the request to repair the dam\u00adage accom\u00adpa\u00adnied by an appro\u00adpri\u00adate dead\u00adline, then FEW<\/span> may repair the dam\u00adage itself or have the dam\u00adage repaired by third par\u00adties and may pass the costs incurred onto the supplier.<\/p>\n (4) F\u00fcr alle Artikel, die einem Halt\u00adbarkeit\u00adszeitraum unter\u00adliegen, ist der Liefer\u00adant verpflichtet das Her\u00adstel\u00adlungs\u00adda\u00adtum sowie die genaue Halt\u00adbarkeits\u00adfrist anzugeben. Gelieferte Artikel mit abge\u00adlaufen\u00adem Halt\u00adbarkeits\u00adda\u00adtum sind nicht zul\u00e4s\u00adsig und wer\u00adden auf Kosten des Liefer\u00adan\u00adten zur\u00fcck\u00adgeschickt. Der Liefer\u00adant verpflichtet sich den Artikel kosten\u00adlos und unverz\u00fcglich zu erset\u00adzen. Generell m\u00fcssen alle Artikel mit Halt\u00adbarkeits\u00adda\u00adtum inner\u00adhalb von 1\/10 der Gesamthalt\u00adbarkeit geliefert werden.<\/p>\n (1) All infor\u00adma\u00adtion and doc\u00adu\u00adments made avail\u00adable to the sup\u00adpli\u00ader by FEW<\/span>, such as draw\u00adings, mod\u00adels, tools, tech\u00adni\u00adcal sketch\u00ades, elec\u00adtron\u00adic files, and even process meth\u00adods and tech\u00adni\u00adcal know-how must be treat\u00aded by the sup\u00adpli\u00ader as strict\u00adly con\u00adfi\u00adden\u00adtial. They must be kept secret from third par\u00adties, and they remain the prop\u00ader\u00adty of FEW<\/span>.<\/p>\n (2) All doc\u00adu\u00adments (includ\u00ading avail\u00adable copies, dupli\u00adcates or excerpts) that FEW<\/span> makes acces\u00adsi\u00adble to the sup\u00adpli\u00ader as part of the busi\u00adness rela\u00adtion\u00adships must be returned to FEW<\/span> or destroyed in a ver\u00adi\u00adfi\u00adable man\u00adner at any time upon request, but at the end of the busi\u00adness rela\u00adtion\u00adship at the lat\u00adest. The non-dis\u00adclo\u00adsure oblig\u00ada\u00adtion remains in effect for a peri\u00adod of time after the end of the con\u00adtract. Devi\u00ada\u00adtions from this non-dis\u00adclo\u00adsure oblig\u00ada\u00adtion may only be made with an express, pri\u00ador writ\u00adten dec\u00adla\u00adra\u00adtion of agree\u00adment from FEW<\/span>. If there is uncer\u00adtain\u00adty whether cer\u00adtain infor\u00adma\u00adtion, doc\u00adu\u00adments, or oth\u00ader knowl\u00adedge gained from the busi\u00adness rela\u00adtion\u00adship is sub\u00adject to the non-dis\u00adclo\u00adsure oblig\u00ada\u00adtion, then the sup\u00adpli\u00ader is oblig\u00adat\u00aded to con\u00adsult with FEW<\/span> pri\u00ador to any for\u00adward\u00ading of the doc\u00adu\u00adments or com\u00admu\u00adni\u00adca\u00adtion of any oth\u00ader infor\u00adma\u00adtion to third par\u00adties and to obtain the express writ\u00adten per\u00admis\u00adsion of FEW<\/span>.<\/p>\n (3) The sup\u00adpli\u00ader is in agree\u00adment that FEW<\/span> will elec\u00adtron\u00adi\u00adcal\u00adly save data from the sup\u00adpli\u00ader that is required as part of the busi\u00adness rela\u00adtion\u00adship and the con\u00adtract signed with the sup\u00adpli\u00ader, and will only use this infor\u00adma\u00adtion for its own pur\u00adpos\u00ades with\u00adin the com\u00adpa\u00adnies that com\u00adprise FEW<\/span>.<\/p>\n (1) The sup\u00adpli\u00ader assures FEW<\/span> that it will not sell any arti\u00adcles to FEW<\/span> on which a third-par\u00adty patent has been filed in order to avoid patent law infringe\u00adments. If a patent-pro\u00adtect\u00aded arti\u00adcle is deliv\u00adered, then FEW<\/span> is autho\u00adrized to return the deliv\u00adery at the expense of the supplier.<\/p>\n (1) FEW<\/span> Fahrzeugelek\u00adtrik Werk GmbH & Co. KG<\/span>, with regard to the code of con\u00adduct for employ\u00adees and sup\u00adpli\u00aders, adheres to the World\u00adwide Code of Legal and Eth\u00adi\u00adcal Busi\u00adness Con\u00adduct of Sauer Compressors.<\/p>\n (2) This code of con\u00adduct is a fixed part of the con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship between FEW<\/span> and the sup\u00adpli\u00ader. The sup\u00adpli\u00ader is oblig\u00adat\u00aded to adhere to the deter\u00admi\u00adna\u00adtions of the code of con\u00adduct and to ade\u00adquate\u00adly pro\u00admote com\u00adpli\u00adance with it among its suppliers.<\/p>\n (1) The law of the Fed\u00ader\u00adal Repub\u00adlic of Ger\u00admany gov\u00aderns these Terms and Con\u00addi\u00adtions and all legal rela\u00adtion\u00adships between the con\u00adtrac\u00adtu\u00adal par\u00adties, with the excep\u00adtion of all inter\u00adna\u00adtion\u00adal and supra\u00adna\u00adtion\u00adal (con\u00adtrac\u00adtu\u00adal) legal sys\u00adtems, par\u00adtic\u00adu\u00adlar\u00adly Unit\u00aded Nations Con\u00adven\u00adtion on Con\u00adtracts for the Inter\u00adna\u00adtion\u00adal Sale of Goods signed April 11, 1980.<\/p>\n (2) The only court of juris\u00addic\u00adtion for any dis\u00adputes aris\u00ading from or in con\u00adjunc\u00adtion with this con\u00adtrac\u00adtu\u00adal rela\u00adtion\u00adship is Leipzig, Ger\u00admany.
